FMR Corp. and Fidelity International Limited hold 2,10% of the EDP's share capital with an equal percentage of the total voting rights.

FMR Corp. and Fidelity International Limited notified EDP that various ?mutual funds? and other investment accounts managed by FMR, FIL and their direct and indirect subsidiaries and affiliates presently hold an aggregate amount of 58,314,283 shares of EDP?s common stock which, collectively, represent 1,94% of the company?s share capital with an equal percentage of the total voting rights.

Within the secondary distribution offer of EDP - Energias do Brasil, S.A. ordinary shares, on July 12,  was exercised in full the option to purchase additional shares (greenshoe) relating to an allotment of 1,991,950 shares, corresponding to 10% of the shares initially offered in the Offer by Morgan Stanley S.A., as a stabilizing agent, after notification to the coordinators of the offer (BES Investimento do Brasil S.A. - Banco de Investimento, Banco Itau BBA S.A. and Banco Santander (Brazil) S.A.).

In accordance with articles 377 of the Portuguese Companies Code, it is hereby convened the Extraordinary General Meeting of Shareholders of EDP - Electricidade de Portugal, S.A.. The meeting is scheduled to take place at Sala das Caras, Pavilhão de Portugal, Alameda dos Oceanos, Parque das Nações, in Lisboa, on the 7th of October 2004, at 10.00 A.M.
