Lisbon, March 21st, 2025: EDP, S.A. (“EDP”), through its fully owned subsidiary EDP - Energias do Brasil S.A. (“EDP Brasil”), entered into a sale agreement with Engie Brasil Energia S.A., to formalize the total disposal of its stake (50%) in UHE Cachoeira Caldeirão and UHE Santo Antônio do Jari, for the total consideration of R$ 1.1 billion (€0.19 billion, considering an exchange rate of 6.1 EUR/BRL), corresponding to an implicit Enterprise Value for 100% of R$ 2.9 billion (€0.5 billion), which is subject to precedent, regulatory conditions and other usual conditions for an operation of this nature, until the transaction’s closing date.

The Hydro Power Plants have 219MW and 393MW in installed capacity and lie in the States of Amapá and Pará, in Brazil, respectively.

This transaction reduces the weight of conventional generation and hydro exposure in Brazil, leading to a higher weight of regulated activities in this market, in line with the strategic update presented to the market in March 2023.

This information is disclosed to the terms and for the purposes of article 17 of Regulation (EU) No 596/2014 of the European Parliament and of the Council.
